Membership terms.

These terms apply to the yearly membership of MediaDeploymentLab ([Bedrijfsnaam] [rechtsvorm]), in every form: MDL Member, Super MDL Member and compagnon. The membership is not the same as an assignment. An 8-week track is always agreed separately, in its own signed agreement.

Draft text — details in [brackets] are still to be filled in.

1. What the membership is

The membership gives you one year of access to MediaDeploymentLab. While your membership is active, you get:

  • the opportunity to start up to 3 tracks of 8 weeks with us per membership year, if we both agree on an assignment;
  • a weekly one-hour call that you book yourself under Planning, also after a track has been delivered;
  • access to the idea box and the ventures in the members area;
  • the chat for questions about your track.

A call you don't use in a given week doesn't carry over. The membership is personal and can't be transferred.

2. Membership and assignment are two separate agreements

The membership is not an assignment and gives no right to a particular result. An 8-week track only starts once we've both signed an assignment. It sets out, among other things, what we'll do, what counts as proven, the fee (usually a share of revenue, only after proof) and what happens to work that isn't used.

Whether and when a track starts also depends on our availability. We always plan it together.

If documents contradict each other, a signed assignment takes precedence over these terms, and these terms take precedence over our general terms and conditions.

3. Types of members

  • MDL Member: paid membership of €395 per year (excl. VAT), through Stripe.
  • Super MDL Member: someone personally introduced, by us or by a compagnon, gets the first membership year for free. After that the free year simply ends; nothing is charged automatically. To continue, you activate a paid membership.
  • Compagnon: a member we've asked to introduce people personally. As long as you're a compagnon, your membership is free. When that role ends, the free membership ends too and you can activate a paid membership.

All members have the same rights and obligations, apart from what's said here about payment and duration. A free membership is also possible in other situations, if we agree on it with you in writing.

4. Becoming a member

You can become a member after our introduction, once we both want to continue. A paid membership starts as soon as your payment succeeds; a free membership as soon as we activate it. You accept these terms when paying, or once in your members area for a free membership.

You take out the membership for your (future) business or profession. If you do so as a private individual after all, the additional rules in article 7 apply.

5. Price and payment

The membership costs €395 per year, excluding VAT. You pay in advance per membership year through Stripe, with the payment methods offered there. You receive an invoice by email and can find all your invoices under Manage membership in your members area.

If a payment fails, Stripe tries again and you'll be notified. If payment still doesn't come through, we may suspend the membership benefits and then end the membership.

We may change the price for a next membership year. We'll let you know at least 30 days before the renewal. If you don't agree, cancel before the renewal date.

6. Duration, renewal and cancelling

A paid membership runs for one year and is then renewed for a year each time, unless you cancel. Before every renewal you receive a reminder by email.

You can cancel at any time, under Manage membership in your members area or by email to hello@mediadeploymentlab.com. Your membership then runs until the end of the current year and isn't renewed. A year already paid isn't refunded, except in the cases in articles 7 and 9.

When your membership ends, the benefits in article 1 end too. A running assignment continues as agreed in it.

7. If you're a private individual

If you take out the membership as a consumer, you have a 14-day cooling-off period from the day the membership starts. During that period you can withdraw without giving a reason, with the ‘Withdraw membership here’ button under Your account in your members area, or by email. You'll get a confirmation by email straight away. You'll get your payment back within 14 days. If you expressly asked us to start straight away, you pay a proportionate part for the period up to your withdrawal.

After the first year, a consumer membership isn't renewed for a full year but continues indefinitely. You can then cancel at any time with one month's notice. Anything paid in advance for the period after that is refunded pro rata.

Your statutory rights as a consumer always take precedence over these terms.

8. What we ask of you

You use the membership yourself and follow the Members area terms, including on confidentiality.

Ideas from the idea box, ventures, figures and other material we share with you remain ours. You only use them within an assignment we agree on together, not on your own or with others.

9. If we end the membership

We may end the membership if you seriously or repeatedly breach these terms or the Members area terms, or if payment doesn't come through. If we end it without you having done anything wrong, you get the amount paid in advance for the remaining months back pro rata.

10. Liability

The membership is an effort, not a promise of results. Our liability under the membership is limited to what you paid for the membership in the last 12 months, except in case of intent or gross negligence. For an assignment, what's in that assignment applies.

11. Changes

We may change these terms. We'll announce important changes at least 30 days in advance. If you don't agree, you can cancel before the change takes effect.

12. Governing law

The membership is governed by Dutch law. In a dispute we first look for a solution together. If that fails, it goes to the competent court in [district]. If you're a consumer, you keep the right to go to the court that has jurisdiction by law.
